Terms of Service
Version 2026-10-26 · Effective October 26, 2026
These terms are the agreement between you and Phynk for using Exhibit A and Sidebar. Please read them. They're written to be read.
Who we are
"Phynk", "we" and "us" mean Phynk LLC, a California limited liability company. We make two apps:
- Exhibit A (exhibita.phynk.com, and its desktop app) helps a parent in a family-law case organize their records for their lawyer.
- Sidebar (for iPhone and Android) is a co-parenting app: messages, schedules and calendars shared between two parents.
Both apps use the same account. These terms cover both, and our websites. Where something applies to only one app, the section says so. How we handle your information is in Exhibit A's privacy notice, Sidebar's privacy notice and the websites' privacy notice.
Who can use the apps
You must be 18 or older and in the United States to use Exhibit A or Sidebar. The apps aren't for children. A parent can enter details about their children, as the privacy notices explain, but children can't have accounts.
By creating an account, you agree to these terms. If you don't agree, please don't use the apps.
Your account
- Give us a real email address and your real name, and keep them up to date.
- Keep your password, your second sign-in step and your backup codes to yourself. Don't share your account.
- You're responsible for what happens in your account. If you think someone else has got in, tell us at once at support@phynk.com.
We're not your lawyer
Phynk is not a law firm. Exhibit A and Sidebar don't give legal advice, and they don't replace your lawyer. Nothing in the apps creates a lawyer–client relationship between you and us.
The apps use AI to read your records, find events, sort things and draft text. AI can be wrong. It can miss things, misread them or describe them badly. Check what it makes before you rely on it or give it to anyone. You decide what's true, and your lawyer decides how to use it in your case.
Where Exhibit A shows background reading on the law, it's general information, not advice about your case. Ask your lawyer what applies to you.
Your content
"Your content" means what you put into the apps or have them bring in for you: messages, files, records, notes, comments, and what the apps make from them for you.
- You own it. These terms don't give us ownership of anything you put in.
- You give us permission to use it only to run the apps for you. That means storing it, copying it as needed to keep it safe, processing it (including with the AI and other service providers listed in the privacy notices), and showing it to you and to the people you choose. This permission ends when your content is removed under Ending, deleting and suspending, except for what the privacy notices say we keep.
- We don't use your content to train AI models, and we don't sell it.
- You need the right to put it in. Messages and records from your own life, including messages the other parent sent you, are what the apps are for. Don't put in things you got unlawfully.
If you send us ideas or feedback, we can use them without owing you anything.
Using the apps fairly and lawfully
You agree to follow the law and not to:
- Get into anyone else's accounts. Use only your own phone, email and other accounts. Never sign in to someone else's, even if you know the password. It's illegal and it can hurt your case.
- Upload records you got unlawfully, such as messages or files taken from another person's phone, computer or account without permission.
- Record people unlawfully. In California and some other states, recording a private conversation without everyone's consent can be a crime. Know the law where you are before you record.
- Use Sidebar to harass, threaten or intimidate the other parent or anyone else, or to break a court order, such as a protective or restraining order.
- Pretend to be someone else, or make up records and present them as real.
- Attack or misuse the apps: probe or break our security, get around limits, overload our systems, upload malware, scrape the apps, or use them to build a competing product.
We can remove content or suspend an account that breaks these rules, as described below.
Exhibit A
- Your case is yours. An account can hold several cases. Each case's content is kept separate.
- Originals stay as they were. We keep the original of everything you upload unchanged. What Exhibit A makes from it, such as text, captions, events and drafts, is kept alongside.
- Imports. When you import messages, email or phone backups, they must come from your own phone and accounts. If you connect Outlook, Exhibit A reads only the mail you ask for, as described in Exhibit A's privacy notice.
- Declarations and other drafts are drafts. Read them carefully, change them so they're true and in your words, and go through them with your lawyer before you sign or file anything.
Sidebar
Sidebar is built to be a fair, lasting record between two parents. That shapes how it works:
- Messages can't be edited or deleted. If you use a send pause, a message stays on your phone until the pause ends. Once it's sent, it stays in the thread exactly as it was sent.
- The other parent keeps the shared record. Messages, the schedule, and changes to it belong to the thread you share. If you delete your account, the other parent keeps the shared thread, with your name on your part of it.
- Seen times are always shown. When a parent opens a message, the time they saw it is shown to both of you and is part of the record. You can't turn this off.
- Both parents follow the same rules. Neither parent gets features, settings or powers over the record that the other doesn't.
- Copies into Exhibit A. A parent who also has an Exhibit A case can have everything in Sidebar copied into their own case as it's sent, Seen times included. The other parent isn't told when this is turned on. Either parent can do this.
- Assume what you write may be read by a court. Write as if a judge will read it.
Sharing with your lawyer
- You can invite a lawyer to see parts of an Exhibit A case. You choose what they see, and you can stop sharing at any time.
- A lawyer you invite has their own account and agrees to these terms. What they can do with what you share (such as view, download or comment) is shown when you invite them.
- Stopping sharing ends their access in the app. It can't take back copies they've already downloaded.
- Some of what you share may be private communication with your lawyer. Sharing it with anyone else could affect whether it stays private. Ask your lawyer before you share it with anyone.
The beta, plans and the AI spend cap
- The apps are in beta. Features may change, move or be removed as we improve them.
- No charges yet. We don't bill anyone during the beta, and every account can use every feature. The plan you choose is recorded so we know what you'd want later.
- Before we charge, we'll tell you. When paid plans start, we'll announce them and their prices before any charge. We won't charge you unless you choose a paid plan and agree to its price.
- AI spend cap. Each account has a monthly limit on AI work. When an account reaches it, AI work pauses, nothing is lost, and the work picks up again when the next month starts.
Services you connect
Some features connect to other services, such as Google Calendar for Sidebar and Microsoft Outlook for Exhibit A's email import. If you connect one:
- You let the app use that service for you, only in the way the app describes when you connect it.
- That service's own terms and privacy policy apply to your use of it. We don't control it and aren't responsible for it.
- You can disconnect at any time.
Ending, deleting and suspending
- You can stop at any time. You can delete a case or your whole account in the app.
- 30 days to change your mind. When you delete a case or account, it's hidden at once. For 30 days you can undo it, by restoring the case or signing in again. After that it's removed for good, as the privacy notices explain, including what we keep afterwards and the shared Sidebar thread the other parent keeps.
- We can suspend or close an account that breaks these terms, puts others at risk, or where the law requires it. Where it's safe and lawful, we'll tell you why and give you a chance to respond or to get your content out first.
- We may stop offering an app. If we do, we'll give you reasonable notice and a chance to get your content out first.
The sections on your content's ownership, disclaimers, limits on liability, claims, law and courts continue after your account ends.
Disclaimers
In plain English: we work hard to make the apps reliable, but we can't promise they'll always work, never lose anything, or always be right, especially what the AI makes. Check what matters, and keep your own copies of important records.
THE APPS AND EVERYTHING IN THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, PHYNK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE APPS WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE, OR THAT ANYTHING IN THE APPS WILL BE ACCEPTED BY A COURT OR HELP YOUR CASE.
Limits on our liability
In plain English: if something goes wrong, what we owe you is limited. Nothing here limits what the law doesn't let us limit, such as liability for our fraud or gross negligence.
TO THE FULLEST EXTENT THE LAW ALLOWS, PHYNK AND ITS OWNERS, EMPLOYEES AND CONTRACTORS WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR THE OUTCOME OF ANY LEGAL MATTER, ARISING FROM OR RELATED TO THESE TERMS OR THE APPS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE APPS WON'T BE MORE THAN THE GREATER OF THE AMOUNT YOU PAID US FOR THE APPS IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR US $100.
Some states don't allow some of these exclusions or limits, so some may not apply to you.
If someone makes a claim because of you
If someone brings a claim against Phynk because of content you put in the apps, your breaking these terms, or your breaking the law or someone else's rights, you agree to cover our reasonable costs of that claim, including reasonable lawyers' fees, to the extent the claim was caused by you. We'll tell you about the claim promptly and let you take part in responding to it. This doesn't apply to the extent the claim was caused by us.
Changes to these terms
- Each version of these terms has a version number, shown at the top of this page. This one is Version 2026-10-26.
- If we make a change that matters, we'll tell you by email or in the app before it takes effect, and say what changed. We may ask you to accept the new version when you next use the apps.
- If you keep using the apps after a change takes effect, you're agreeing to the new version. If you don't agree, you can stop using the apps and delete your account.
- Changes don't apply to a dispute we already knew about before the change.
California law and courts
- California law governs these terms and any dispute about them or the apps, without regard to its conflict-of-law rules.
- Any dispute will be decided in the state courts of California in the county where Phynk has its principal place of business, or in the federal court for that district. You and we agree to those courts' jurisdiction.
- Either of us can bring a claim in small claims court instead, if it qualifies.
- There's no arbitration clause and no class action waiver in these terms.
- Before going to court, please write to us at support@phynk.com. Most problems can be sorted out that way.
The rest
- These terms and the privacy notices are the whole agreement between you and us about the apps.
- If a court finds part of these terms can't be enforced, the rest still applies.
- If we don't enforce part of these terms right away, we can still enforce it later.
- You can't transfer your account or these terms to someone else. We can transfer them to a company that takes over the apps, and these terms will still protect you.
- We're not responsible for delays or failures caused by things outside our reasonable control.
